Reports are that Joe Kelly refused to sign the DCE contract and Scott Penn ended up having to sign it and submit it.
I guess Joe Kelly knowing about it and not saying anything has made him complicit in this scenario.
Not sure where I sit on this, need to wait for more details to come out but sounds like Joe Kelly was really against it.

I would imagine that if Kelly refused to approve the contract as presented to him, it would show him in a good light. The fact that a contract was signed off by Penn doesn't prove Kelly was complicit, he could claim he assumed it had been adjusted accordingly. Penn was his employer.
However , Rothfield indicated there was text messages that may have shown Kelly turned a blind eye to other dodgy deals, and apparently the way the Penns did business is why he quit.
